Senior Corporate Counsel, Legal. This is a career opportunity for an attorney leader with a solid work ethic and exceptional character. This position will provide Legal support to McGrath’s corporate departments and company divisions. Under the general direction from the VP Legal Affairs and Risk Management, the Senior Corporate Counsel is responsible for assisting in the development and implementation of the company’s overall legal strategy, including customer and vendor contract reviews, real estate matters, mergers and acquisitions, insurance matters, managing litigation and disputes (largely involving overseeing outside counsel), corporate entity management, regulatory compliance, and legal services procurement and management. As Senior Corporate Counsel, you are also responsible for managing the Associate Corporate Counsels and Senior Contract Reviewer on the Legal team.
What You’ll Do:
Negotiate, draft, and finalize agreements and contracts on behalf of the company, including customer and vendor agreements, construction contracts, lease agreements, NDAs, IT agreements, manufacturer agreements, hauling/transportation agreements, letters of intent & purchase agreements for assets, and government contracts. Advise on contract issues, legal risks, and the legal liabilities associated with the various agreements and contracts. Draft new, and update existing, contract forms for the company.
Offer accurate and timely counsel on a variety of legal issues. Provide training to the company on legal topics. Advise executives within the company and work alongside other departments within the company to offer advice. Research and anticipate unique legal issues that could impact the company, while synthesizing information and considering stake-holder and business needs, in order to formulate recommendations. “Issue-spot," including identifying and analyzing (through hands-on research as well as input from outside and internal counsel) complex legal and business considerations. Assess and help manage risk.
Assist in managing litigation, settling claims, and managing defense activities for litigation and collections matters, and review and address services of process, subpoenas, and garnishment orders.
Assist with managing mergers and acquisitions, including performing and coordinating due diligence and attending to closing matters.
Assist with managing real estate purchases, leasing matters, and legal issues arising from real estate to be acquired, real estate currently owned, and leased properties. Assist with coordinating development of real estate, entitlements, and title review, and managing negotiation and drafting of various real estate related agreements and documents.
Identify and obtain necessary state registrations and filings for the company’s various entities. Advise and assist various departments and divisions with regulatory compliance, including general corporate issues, corporate structuring, employment law, data privacy, general contractor’s licenses and other business licenses, hauling/transport issues, safety and environmental matters, and collections and bankruptcy matters, and coordinate with business and IP counsel to secure trademarks. Work with personnel across departments on insurance process and management (workers compensation, property, automobile, general and excess liability, and all other forms of insurance held by the company).
Identify, engage and manage outside counsel to assist with various legal matters.
Supervise and oversee the Associate Corporate Counsels and Senior Contract Reviewer, and additional staff as needed.
Keep current with developments of the law. Review pending and upcoming changes to regulations and laws to ensure the company is prepared for future compliance requirements. Develop and communicate impact summaries of future changes.

Education and Licensure Required & Experience Desired
JD required from recognized university. Strong academic record.
At least 6 years of legal experience.
Admitted to and in good standing with a State Bar of a State in the United States.
Experience in corporate contract review and in providing risk assessments and legal advice to businesses.
Experience in managing other personnel.
Proficiency in the use of MS Office products, such as Word, Excel and Outlook, Powerpoint, and Adobe Acrobat.
Valid driver’s license and good driving background. This position may involve light travel.
Experience with any of the following legal areas is an asset: (i) corporate law (M&A, commercial contracts, entity formation, etc.), (ii) real estate law, (iii) environmental /safety law, (iv) business litigation, (v) employment law, (vi) data privacy law.
Experience procuring and managing outside counsel or local counsel is an asset.
