The Counsel position is responsible for supporting and providing legal advice to the business office, acquisition, and project execution teams for corporate operations, asset management projects, and development projects. This position will work collaboratively to ensure JL consistently meets business plan objectives, schedule, budget requirements, and return metrics, while also following legal processes and mitigating risk. Acquisitions and project execution from a legal perspective will include all stages of project timelines, including understanding confidentiality and supporting the execution of non-circumvention agreements, service providers contracts, real estate transactional documents including letters of intent, purchase and sale agreements, covenants, easements, and other regulatory agreements, debt financial documents and equity joint venture documents, as well as providing support to, and coordinating with outside counsel in connection with, litigation matters relating to specific projects or the Company generally.
The Counsel will report directly to the General Counsel who collectively will leverage outside counsel (when applicable) to provide legal support to the appropriate project teams to execute a project’s business plan and goals. In these cases, the Counsel will act as the internal champion of key corporate issues and risk mitigation measures including, but not limited to, specific performance, recourse, transfer provisions, insurance, and litigation prevention.

Duties & Responsibilities
Develop “Playbooks” and “checklists relating to (i) on board “counterparties”, (ii) form NDAs, (iii) form contracts, (iv) “key” provisions when using a counterparty’s contract forms, (v) conventions for placement of executed agreements in electronic document filing system, and (vi) conventions for placement of due diligence and other materials in electronic document filing system; in each case of (i) – (vi) for the following:
General corporate operations;
Company led development projects; and
Third party development consulting services.
Draft, negotiate, and execute legal documents directly and/or with outside counsel that will support the execution of a project’s business plan and overall investment goals.
Address day-to-day issues with the acquisition and project execution teams; communicate mid-level and high-level issues to the team and develop solutions to address them.
Gain approval from JL investors’ counsel of project legal documents for business plan approvals and selected subsequent changes.
Prepare reporting documents for various capital partners, mostly indicative of key legal issues including regulatory or litigation.
Primary responsibility for completing the negotiations of all project contracts and agreements, including with the property manager, commercial leases, easement agreements and others specific to the transaction (such as energy contracts), as well as management of third-party consultants—including design and construction consultants (if applicable).
Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
Support the financing team with Investment Managers in managing debt and equity closings for acquisition, construction, and permanent financing.
Support the construction teams in managing AIA contracts in connection with construction projects.
Interact with the development and construction management teams as needed on value-add rehab, capital improvement projects, and construction projects.
Interact with the acquisitions team as needed in the transition and onboarding of new projects.
Present or coordinate with outside counsel to present “lunch and learns” to staff on topics of legal interest.
Conduct or coordinate with outside counsel to conduct internal audits relating to legal risk exposures and practices, including:

Juris Doctorate degree and member of good standing of a state bar
Minimum of two (2) years’ experience at a law firm, economic development agency, development company, a property manager and/or an asset manager for multifamily properties, particularly those with institutional equity partners, and ancillary familiarity with other asset classes.
Excellent interpersonal, organizational, administrative, and communication skills required.
